Terms and Conditions of Use for SuperSight

These Terms and Conditions of Use ("Terms") apply to your use of SuperSight, an AI-powered search engine for blockchain data. The terms "you," "your," and "User" refer to anyone who accesses or uses the SuperSight platform or services. The terms "we," "us," "our," and "SuperSight" refer to the company that owns and operates the SuperSight platform.

Please review these Terms carefully before accessing or using any products or services offered by SuperSight (collectively, the "Services"). By accessing or using any Service, you signify that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms or to any changes to these Terms, you must immediately stop using the Services.
  1. General Terms and Conditions
    1. Scope
      These General Terms and Conditions apply to all Services provided by SuperSight. Additional terms and conditions may apply to specific Users or Services, as set forth in the following Addenda incorporated into these Terms:
      • SuperSight Search Engine Service Addendum
      • SuperSight API Service Addendum
      • Subscription Tiers and Pricing Addendum
      In case of conflict between these General Terms and Conditions and the provisions in the Addenda, the terms in the Addenda shall prevail.
    2. Changes to the Terms
      We may modify these Terms from time to time. When we do, we will post the updated Terms on this page and indicate the date of revision at the top. By continuing to use any Service after we have made changes to the Terms, you accept the new Terms. We will notify you of any material changes to these Terms that may adversely affect you before they take effect. Notices may be given through our release notes or by other reasonable means.
    3. License
      By signing up for the SuperSight Search Engine Service and/or API Service, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to use the Services in accordance with these Terms.
    4. Changes to the Services
      SuperSight's Services are subject to continuous development and may undergo changes in terms of versions, functionality, price, and layout. New features or functionality added at a later stage may be subject to separate terms and payment. Services, features, and functionalities that are currently free may require payment in the future, which will necessitate signing up for a paid subscription plan to continue using such services, features, and functionalities.
  2. User Account, Login, Password, and User Information
    1. Account Creation
      To access our Services, you must create a user account on the SuperSight platform. This process will involve creating a login and password to access the Services. When you sign up for an account, you agree to provide accurate, current, and complete information as prompted by any registration forms or otherwise requested by SuperSight ("User Information").
    2. Additional Information for Paid Subscription Plans
      Under paid Subscription Plans, additional information may be required, including payment information. You represent that you are the legal owner of, and are authorized to provide, all User Information and other information necessary to facilitate your use of the Services.
    3. Personal Use and Responsibility
      Your user account is personal and intended for your use only. You may not share your login details with third parties or register other people's information to your personal profile. You are responsible for ensuring that your information is correct and up to date, and for securely storing your password and login details.

      You are prohibited from using another person's login or password to access the Services. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You accept sole responsibility for any and all activities that occur under your account or password.
    4. Reporting Compromised Information
      If you believe or have reason to believe that any of your User Information, including your login and/or password, has been compromised or that another person is accessing your user account through some other means, you agree to notify us as soon as possible at [email protected].
    5. Updating User Information
      If your User Information changes, you agree to promptly update this information.
  3. Acceptable Use
    1. Compliance with Laws and Regulations
      You agree to use the Services in accordance with all applicable laws and regulations, and in a manner that does not negatively impact SuperSight or others' use of the Services.
    2. Prohibited Activities
      You must not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Services. You must not modify, adapt, or hack the Services, or modify another website to falsely imply that it is associated with any Services or SuperSight.
    3. Responsibility for Content
      You are responsible for ensuring that the information you post and the content you share does not:
      • Contain false, misleading, or otherwise erroneous information;
      • Contain harmful material, such as viruses;
      • Infringe upon someone else's copyrights, trademarks, or other intellectual property rights;
      • Contain sensitive personal data; or
      • Contain information that might be considered offensive or insulting.
      • Information and content that violate these Terms may be removed by SuperSight without prior notice.
    4. Usernames and Account Restrictions
      You may only register a username deemed appropriate by SuperSight and that is not associated with a name or trademark actively used by someone else. You may not sell or transfer your username or user account without our prior written consent. SuperSight may replace, modify, or delete usernames and respective accounts not in accordance with these Terms.

      SuperSight reserves the right to determine, at any time, whether a use of the Services violates its requirements for acceptable use. Violations of the applicable requirements for acceptable use may result in the suspension or termination of your user account, without any refunds of any prepayments and without prior notice. SuperSight will, however, take reasonable steps to notify you after the suspension or removal of your user account and state the reason for termination, if possible.
  4. Subscription Plans, Changes, and Termination
    1. Subscription Plans
      Your access to Services, specific features, performance, and pricing will be determined by your subscription plan ("Subscription Plan") selected under "Settings" in your user account or by a separate agreement, as applicable. An overview of SuperSight's Services and Subscription Plans can be found on the Subscription Tiers and Pricing Page.
    2. Changing Subscription Plans
      Users may change their Subscription Plan online in the user account under "Settings" on the SuperSight platform. Upgrades to Subscription Plans take effect immediately and will be pro-rated based on the number of days left in the current subscription period. Downgrades take effect at the end of the current subscription period, and the new Subscription Plan's pricing and features will apply thereafter.
    3. Termination of Subscription
      You may terminate your subscription for the Services at any time. You are solely responsible for properly canceling your account. Any prepaid amounts will not be refunded. Upon termination, you will be charged any additional execution amounts applicable to your Subscription Plan.
  5. Price and Payment Terms
    The Subscription Fee varies according to the Subscription Plan chosen by the User. Usage exceeding the agreed limitations for usage and/or data points under any Subscription Plan (overage) will be payable monthly in arrears.

    The Subscription Fee is exclusive of all direct and indirect taxes, charges, fees, and duties, including but not limited to any VAT or withholding tax. The User will bear any tax costs, including notably VAT and any applicable local withholding taxes.

    The Subscription Fee is subject to change upon thirty (30) days’ notice from us. Such notice may be provided at any time through the SuperSight website, the Service, or by email. Your continued use of SuperSight after receiving this notice will be understood as your acceptance of the new Subscription Fee.

    There are no refunds or credits for termination of your account before the end of any prepaid service period.

    SuperSight reserves the right to suspend the Services in case of non-payment of the Subscription Plan’s consideration.
  6. Payment
    If you choose a paid Subscription Plan, SuperSight will require you to pay with credit or debit cards. Card payments are processed via a third-party service provider, Stripe Inc. (“Stripe”). Stripe is licensed to provide these payment services and complies with relevant laws and regulations. All payments for the Services are subject to the Stripe terms and conditions, which may be amended by Stripe from time to time.

    All card data is stored by Stripe. SuperSight does not store any card data. The User may delete a stored card in the User’s profile on the Site. SuperSight shares with Stripe User Information other than card data, as Stripe does not store any other User information.

    The User authorises Stripe to process card payments for the Services on the User’s behalf. The payment amount will be equal to the total pricing of the User’s order.

    In case the debit or credit card is rejected, the User may update the payment information. Payment must go through for the order to be submitted and processed.
  7. Marketing
    The User agrees that SuperSight may list and/or identify the User’s name (including by displaying the User’s trademark) to identify the business relationship between the parties on SuperSight’s website and in other marketing and advertising collateral.
  8. Limitations of Usage
    The default number of usage a User or Team is entitled to perform is defined in each Subscription Plan. For the purposes of these Terms of Service, usage is defined as a request for data or information from SuperSight’s database originated from either the SuperSight Application Service or the SuperSight API Service. SuperSight may suspend or block the User if SuperSight believes, at its sole discretion, that the User is abusing the limitation of usage.
  9. Data Deletion and Account Deletion
    1. Data Deletion Upon Termination
      Upon termination of a Subscription Plan, the User's data (including, but not limited to, User Information and content) may be deleted without prior notice. Users must export any data they wish to retain prior to the end of the subscription period. For additional information, please refer to our Privacy Policy.
    2. Account Deletion
      You may delete your account at any time. The deletion of your user account will not release you from any obligations incurred in accordance with your Subscription Plan or by breach of these Terms. Please note that references to your username might still remain visible on the Services unless you remove it from third-party sources, such as your Github account linked to the SuperSight account.
  10. User Representations
    1. Compliance and Accuracy
      You represent, covenant, and warrant that (i) you will use the Services only in compliance with all applicable laws and regulations, and in a way that will not harm the Services or anyone else's use of it; (ii) the information you provide to us is true, accurate, and complete, as you are solely responsible for such information; and (iii) your use of the platform or Services does not violate any laws or regulations or any agreements with any third parties.
    2. Prohibited Actions
      You further represent, covenant, and warrant that you will not (i) attempt to reverse engineer, disassemble, decompile, extract, or decipher the Services or software making up the Services, (ii) navigate or search the Services with any tool, software, agent, engine, or other means (including bots, avatars, intelligent agents, or spiders), (iii) use any means other than SuperSight's provided interface to access the Services, (iv) use the Services in a way that could impair, overburden, damage, or disable any portion of the Services, or (v) copy or mirror any material contained on the platform or the Services (unless as allowed herein).
  11. Changes to the Terms
    We may make changes to these Terms from time to time. If we do this, we will post the changed Terms on this page and will indicate at the top of this page the date the Terms were last revised. You understand and agree that your continued use of any Service after we have made any such changes constitutes your acceptance of the new Terms.

    If we change these Terms to your disadvantage, we will notify you before such changes take effect. Notices may be given in our release notes or via email.
  12. Intellectual Property
    All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in the Services and its content (including text, graphics, software, and scripts) are owned by or licenced to SuperSight, and are protected by United Kingdom and foreign laws and international conventions. SuperSight retains ownership of all elements of the Service, including algorithms, source code, object code, user interface design, graphics, illustrations, data, drawings, images, concepts, techniques, and specifications, design, trademarks, know-how, trade secrets, copyrights, and all other intellectual property rights.
  13. Limitation of Liability
    In no event will SuperSight, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
  14. Suspension of Services
    SuperSight reserves the right to suspend, revoke, limit, or terminate your access to any of the Services if SuperSight, at its sole discretion, suspects that the Services provided by SuperSight are being used in violation of these Terms of Service.
  15. Transfer of Rights
    SuperSight is entitled to transfer its rights and obligations pursuant to these Terms of Service to a third party as part of a merger or acquisition process or as a result of other organisational changes.
  16. Warranty Disclaimer
    To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis without express or implied warranty of any kind, and we do not guarantee or ensure any usage.

    SuperSight expressly disclaims all warranties of non-infringement, merchantability, satisfactory quality, accuracy, and fitness for a particular purpose and the User’s expectations and intended purpose, nor that the Service is free of bugs, errors, defects, or omissions, and that operation of the Service will be error-free or uninterrupted, nor that all nonconformities will or can be corrected.

    The contents of the Services and any associated data, text, graphics, links, and other materials may be based on sources that SuperSight does not control, including data provided by third parties. SuperSight does not represent that the content of the Services is accurate or complete, and it should not be relied on as such. The Services and associated data may contain inaccuracies, typographical errors, and other errors. You understand that you are using any and all information available here at your own risk.

    SuperSight may, from time to time, need to temporarily suspend access to the Service due to software updates or maintenance. SuperSight will correct any errors as soon as commercially possible. Nevertheless, SuperSight does not guarantee a specific time limit for correction of errors, and we are not liable for any loss due to errors or downtime of the Site or the Service.

    We do not provide any endorsements or guarantees for any individual or entity using the Services, nor any third-party content posted on SuperSight’s website.

    Your sole and exclusive remedy for any problems or dissatisfaction with the Site or the Service is to delete your account and stop using the Service.

    The Service is controlled and operated from its facilities in the United Kingdom. Although the Service may be accessible worldwide, SuperSight does not claim, and we cannot guarantee that the Service is or will be appropriate or available for any location or jurisdiction, comply with the laws of any location or jurisdiction, or comply with laws governing export, import, or foreign use.
  17. Governing Law and Jurisdiction
    These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom to resolve any legal matter arising from or related to these Terms or your use of the Services. Notwithstanding this, you agree that SuperSight shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

    The Terms of Service will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflicts of law provisions. You agree to the personal jurisdiction by and venue in the courts of England and Wales for all disputes related to or arising out of this agreement and waive any objection to such jurisdiction or venue.

    Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable UK and local laws and regulations, including but not limited to export and import regulations.
  18. Severability
    If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties agree that the remaining provisions of these Terms shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
  19. No Waiver
    No waiver of any provision of these Terms by SuperSight shall be deemed a further or continuing waiver of such provision or any other provision, and any failure by SuperSight to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  20. Entire Agreement
    These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by SuperSight on the platform, shall constitute the entire agreement between you and SuperSight concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
  21. Assignment
    You may not assign your rights or delegate your duties under these Terms without the prior written consent of SuperSight. SuperSight may assign its rights and delegate its duties under these Terms in its sole discretion.
  22. Force Majeure
    SuperSight shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
  23. Limitation of Liability
    The User agrees to indemnify SuperSight for any loss, including indirect loss, arising out of or in connection with your use of the Services or violations of these Terms of Service.

    We, our officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers or licensors shall in no event be liable for (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our Service; (iii) any unauthorized access to or use of our secure servers and/or any and all information, including personal information or financial information, stored therein; (iv) any errors, mistakes, losses, damage or unauthorized access resulting from the use of third-party applications by you, by your end users, or by us on your behalf; (v) any interruption or cessation of transmission to or from the Service; (vi) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party; (vii) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the service; (viii) for the other users; (ix) any indirect, special, incidental, punitive, exemplary or consequential damages; or (x) any loss of use, loss of profits, loss of savings, loss of reputation or loss of goodwill arising out of or in connection with the use of the Services, whether or not such damages are based on tort, warranty, contract or other legal theory, even if we have been advised or are aware of the possibilities of such damages, and even if a remedy fails of its essential purpose.

    Any claims for damages must be notified to us within ninety (90) calendar days of the date you first know or reasonably should know of the event giving rise to such claim. Any lawsuit relative to any such claim must be filed within one (1) year of the date of the claim.

    SuperSight’s liability in all events limited to what the User has paid for the Service in the last 3 months prior to the date of any claim.

    This section applies to the fullest extent permitted by applicable law.
  24. Indemnity
    You agree to defend, indemnify, and hold us and our affiliates harmless from and against any demands, loss, liability, claims, or expenses (including attorneys’ fees) made against us by any third party due to or arising out of or related to (i) your User Content; (ii) use of the Service; (iii) your violation of any law or regulation or the rights or good name of any third party; and (iv) violation of these Terms of Service, or violation of any rights of another.
  25. Privacy Policy
    SuperSight is situated in the United Kingdom and is thereby subject to the United Kingdom's data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All personal data processed by us shall be processed in accordance with these laws.

    We maintain a Privacy Policy, and it details how we handle and protect data. We fully incorporate our Privacy Policy into this Agreement. Note that we reserve the right to update the Privacy Policy at our discretion, and that any changes made to our Privacy Policy are effective when the updates are live on our Site.
  26. Data Usage for Prediction Models
    By using the Services, you acknowledge and agree that SuperSight may use the data you provide in a non-intrusive manner to build prediction models. SuperSight will ensure that any data used for this purpose is anonymized and cannot be used to identify you or any other individual users of the Services.
